The indemnification is actually part of the sale to Ballmer, since it is technically still being carried out at gunpoint, and includes an agreement to not sue the league on behalf of Shelly Sterling and the trust. The whole thing had to have been part of his plan. If he dies while in court, then Shelly can sell for 2B again, and not pay a penny of capital gains tax, compared to the what was it 750 million evaluation it previously held. That would have been a tax hit of 125 million I believe. Now the tax hit would only come into play for anything over 2B.
