Why does the TikToks have to be sold?

Since I'm a grown adult and I don't spend my time recording myself dancing like a buffoon, can someone explain to me why the TikToks has to be sold to an American entity? Why can't someone else come up with their own TikToks instead? Why is this TikToks platform so special that it has to be the one they shut down and it has to be the one purchased?

Is it that hard to come up with someone else that's similar?
